Terms of Service

1. Acceptance of Terms
By accessing or using the SuanZu platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not use the Platform. These Terms constitute a legally binding agreement between you and SuanZu.
2. Platform Description
SuanZu is a decentralized marketplace that connects GPU/CPU computing resource owners ("Hosts") with users who need computing power ("Renters"). The Platform facilitates the listing, discovery, rental, and management of computing resources including but not limited to GPUs, CPUs, storage, and network bandwidth.
3. Account Registration & Eligibility
You must be at least 18 years old to use the Platform. Users may register via email or third-party OAuth providers (Google, GitHub, X). Each account may hold both Renter and Host roles simultaneously.
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must immediately notify us of any unauthorized use.
4. Payment & Billing
The Platform accepts cryptocurrency payments including USDT and USDC on multiple chains (ERC-20, TRC-20, Polygon, BSC). Each user is assigned a unique deposit address upon first accessing the wallet.
Deposited funds are non-refundable and can only be used for renting computing resources on the Platform. Renter and Host wallets are separate and funds are not interchangeable between roles.
Billing is calculated on an hourly basis. Instances will be automatically terminated when account balance reaches zero. Host earnings are subject to a platform commission and can be withdrawn to bound cryptocurrency wallet addresses.
5. Host Responsibilities
Hosts are responsible for: maintaining device availability and performance as listed; ensuring accurate hardware specifications; keeping Agent software up-to-date; complying with local laws regarding computing resource rental.
Hosts marked as "Guaranteed" (non-interruptible) may be subject to compensation penalties for unexpected downtime during active rentals. Spot instances may be reclaimed with appropriate notice.
6. Renter Responsibilities
Renters must comply with all applicable laws when using rented resources. The following activities are strictly prohibited: cryptocurrency mining without Host consent; DDoS attacks or network abuse; distribution of malware; child exploitation material; any illegal activity under applicable law.
Renters are responsible for backing up their data. The Platform is not liable for data loss due to instance termination, Host downtime, or any other cause.
7. Privacy & Security
During active rentals, Host access to rented containers is strictly prohibited. The Platform enforces container-level isolation using our Agent software. For details on data collection and usage, see our Privacy Policy.
8. Intellectual Property
The Platform, including its design, code, and branding, is the intellectual property of SuanZu. Users retain all rights to their own data, models, and code stored on rented resources.
9. Dispute Resolution
In the event of a dispute between Host and Renter (e.g., performance claims, downtime), the Platform will review available evidence including monitoring data and logs. Platform decisions on disputes are final. Users may also submit disputes through the ticket system.
10. Limitation of Liability
The Platform provides matchmaking services only. We do not participate in, audit, or monitor the specific content users run on devices. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
11. Termination
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent activity, or are inactive for more than 12 months. Users may close their accounts at any time through the Settings page.
12. Modifications
We reserve the right to modify these Terms at any time. Material changes will be notified via email and in-app notification at least 14 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance.
13. Governing Law
These Terms shall be governed by and construed in accordance with applicable laws. Any disputes shall be resolved through binding arbitration.
